are protected by Copy Rights Laws. If a Product includes software or any other intellectual property (IP), By providing such Products and IP, the terms and conditions of which are set forth in the license agreement accompanying such software or IP will hold. Nothing on this website shall grant any rights or license to use any software or IP in any manner or for any purpose not explicitly permitted by license agreement of such Software or IP. Buyer acknowledges and understands that Seller is not the manufacturer of any Products ordered or to be supplied to Buyer and is not liable to Buyer or any third party for any copyright, design or patent issue, right or claim that may arise in relation to any Product.

Termination

1. Fengyun Electronics, provides the Services to its Clients to the extent and in the form specified in these Terms and Conditions.
2. From the moment of commencing the use of the given Service, each of the Clients shall comply with these Terms and Conditions.
3. These Terms and Conditions are an integral part of the agreements for the provision of electronic part provision services executed between Fengyun Electronics and its Clients.
4. Everyone may read these Terms and Conditions prior to commencing their use of the Services on the Website.
5. Commencing the use of the given Service shall be tantamount to executing an agreement with Fengyun Electronics with respect to the given Service.

7. Fengyun Electronics shall collect from its Clients their consents to receiving commercial information by e-mail.

General

As used herein, terms appearing in the singular shall include the plural, and terms appearing in the plural shall include the singular. No rights, duties, agreements, or obligations hereunder may be assigned or transferred by Buyer, by operation of law, merger, or otherwise, without the prior written consent of Seller. Any attempted or purported assignment shall be void. Seller’s obligations under these terms and conditions may be performed by divisions, subsidiaries, or affiliates of Seller. The obligations, rights, terms, and conditions hereof shall be binding on the parties hereto and their respective successors and assigns. The waiver of any provision hereof or of any breach or default hereunder shall not be deemed a waiver of any other provision hereof or breach or default hereunder. Any provision hereof which is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or un-enforce-ability without invalidating the remaining provisions hereof in that jurisdiction or affecting the validity or enforce-ability of such provision in any other jurisdiction.

Force Majeure

Fengyun Electronics will not be held responsible for any delays caused in delivery or for failure to perform its obligations due to causes beyond its reasonable control including, but not limited to, product allocations, material shortages, labor disputes, transportation delays, unforeseen circumstances, acts of God, acts or omissions of other parties, acts or omissions of civil or military authorities, Government priorities, fires, strikes, floods, severe weather conditions, computer interruptions, terrorism, epidemics, quarantine restrictions, riots or war . Fengyun Electronic’s time for delivery or performance will be extended by the period of such delay or Fengyun Electronics may, at its option, cancel any order or remaining part thereof, without liability, by giving notice to you.
